BillNip Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the BillNip® mobile application and related services ("BillNip," "we," "us," or "our"). By accessing or using BillNip, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Overview of Services  

BillNip is a giving platform that allows users to enter bill information and receive or send payments toward those bills. Users may:  

- Add and manage bill details  

- Contribute funds to another user's listed bills  

- Receive financial support toward verified bills  

- Maintain a BillNip Balance to apply toward bill payments  

BillNip does not support direct withdrawals or peer-to-peer cash transfers. All payments are directed to the biller.

2. Eligibility  

You must be at least 18 years old and a U.S. resident to use BillNip. By creating an account, you confirm that you meet these requirements and are not barred from using our services under any applicable laws. We may suspend or terminate access if eligibility criteria are no longer met.

3. Account Registration and Security  

You agree to provide accurate and complete information during account setup and to keep your information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If you suspect unauthorized access, you must notify us immediately. We are not liable for losses resulting from unauthorized use.

4. Use of the Platform  

You may only use BillNip for lawful purposes and in accordance with these Terms. You agree not to:  

- Provide false or misleading bill information  

- Attempt to manipulate the BillNip Balance system  

- Interfere with the security or integrity of our services  

- Use automated systems or bots to interact with our platform  

- Engage in any activity that violates local, state, or federal law  

We reserve the right to investigate and take legal action against violations.

5. BillNip Balance  

Funds sent to you are held in your BillNip Balance and may only be used to pay bills added to your account. Balances are not FDIC-insured and are not redeemable for cash. We use licensed financial institutions and regulated third-party service providers to facilitate payments and store funds. By using BillNip, you authorize us to share necessary account and transaction information with these entities.

BillNip is not a bank or financial institution. Your funds are not held in trust and do not earn interest. They may be subject to holds, delays, or return per our compliance checks or at the discretion of our financial partners. Funds in your BillNip Balance may reflect pending transactions, and we are not liable for delays or failures in applying funds due to inaccurate bill information or issues with third-party processors.

6. Payment Processing  

All payments made through the platform are processed via regulated financial partners. These partners may have additional terms and privacy policies governing your use of their services. By initiating a payment, you authorize BillNip and our partners to debit and credit your account as required.

Payment methods may include ACH, virtual card, or other mechanisms selected at our discretion. We may delay or refuse to process a payment if we suspect fraud, insufficient funds, or other risks. Payments are not guaranteed until verified and cleared by our processing partners. BillNip and its partners reserve the right to reject or delay payments based on compliance or fraud screening policies. Users have no recourse against BillNip for payment delays caused by billers or third-party processors.

7. Fees  

BillNip may charge service fees in connection with certain transactions. All applicable fees will be disclosed before completing a transaction. We reserve the right to update our fee schedule at any time with prior notice through the platform or via email. Continued use of the service after fee changes constitutes acceptance.

Fees may apply to both the sender and the recipient of a payment. BillNip reserves the right to assess additional fees for premium support, fraud prevention, or enhanced verification services, which will be disclosed at the point of use.

8. Privacy and Data Use  

We respect your privacy. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal information. By using BillNip, you consent to our data practices and the sharing of necessary information with service providers, legal authorities, and regulatory bodies as required.

9. Intellectual Property  

All content, trademarks, logos, and technology used in the BillNip platform are owned by us or our licensors. You may not use, copy, reproduce, or distribute any part of the platform without written permission. Unauthorized use may violate intellectual property laws and result in termination of your account and possible legal action.

10. Updates and Modifications  

We may modify these Terms or our services at any time. When changes are made, we will post the updated Terms on our website or notify you through the app. It is your responsibility to review changes. Continued use of BillNip after changes take effect constitutes acceptance.

11. Suspension and Termination  

We may suspend or terminate your account without notice if you violate these Terms or engage in any activity that harms our platform, users, or reputation. You may close your account at any time through the app. Any unused balance must be applied to an existing bill; otherwise, it will be forfeited.

12. Third-Party Links and Services  

BillNip may include links to third-party websites, billers, or services. We do not control or endorse these third parties and are not responsible for their content, terms, or privacy practices. Use of third-party services is at your own risk.

13. Disclaimers  

BillNip is provided on an "as is" and "as available" basis. We make no warranties or guarantees regarding reliability, accuracy, or availability. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.  

We do not guarantee that bills will be paid within a specific timeframe or that payments will be accepted by billers without delay. Delays, errors, or issues may occur due to user input, technical problems, or third-party limitations.

14. Limitation of Liability  

To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform. Our maximum liability in any circumstance will not exceed the total amount of fees you have paid to us in the prior 6 months.

15. Indemnification  

You agree to indemnify and hold harmless BillNip, its affiliates, employees, contractors, and partners from any claims, damages, liabilities, losses, or expenses arising out of your use of the platform, violation of these Terms, or infringement of any third-party rights.

16. Dispute Resolution and Arbitration  

All disputes must be resolved through binding arbitration on an individual basis. You waive your right to a jury trial and to participate in class actions. Arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA).  

This section survives termination of your account and these Terms.

17. Governing Law  

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws principles. Any legal actions not subject to arbitration must be filed in state or federal courts in Kent County, Delaware.

18. Regulatory Compliance  

We comply with applicable federal and state financial regulations and partner with licensed financial institutions to process payments. Use of the platform may be restricted or modified as needed to maintain legal compliance.

BillNip is not a licensed money transmitter and does not provide banking services. All regulated financial services are provided by our licensed partners. Our services are subject to the operational and compliance policies of these financial partners, which may impact how payments are processed.

19. Taxes  

You are responsible for determining and paying any taxes associated with your use of BillNip, including any applicable to funds you receive. We do not provide tax advice.

20. Electronic Communications and SMS/Text Message Consent  

By creating a BillNip account, you consent to receive all communications from us electronically. This includes, but is not limited to, disclosures, agreements, account updates, security alerts, payment confirmations, verification codes, system messages, and promotional communications.

You agree that these communications may be sent by email, in-app notification, or SMS/text message to the contact information associated with your account. You understand that standard messaging and data rates may apply depending on your mobile carrier and plan.

You also agree that your electronic consent satisfies any legal requirement that such communications be in writing and that you have access to the necessary technology to receive, review, and retain these communications.

By using BillNip, you affirm that you have provided express consent to receive SMS/text messages from us and our service providers for both transactional and informational purposes. You may revoke consent to receive promotional SMS/text messages at any time by replying STOP. However, opting out of essential messages, including verification or security-related messages, may impair your ability to use key features of the platform.

It is your responsibility to keep your contact information up to date. Failure to do so may result in missed communications, and we are not responsible for any consequences arising from such missed messages.

21. User Verification and Fraud Prevention  

We may require identity verification before enabling certain features or completing transactions. We reserve the right to suspend or restrict accounts while we investigate unusual or potentially fraudulent activity. We may also report suspicious activity to law enforcement or regulatory authorities as required by law.

22. Prohibited Uses  

You may not use BillNip for activities including, but not limited to:

- Money laundering or terrorism financing

- Impersonation of others

- Fraudulent fundraising or misrepresentation

- Paying for illegal goods or services

- Violating any applicable law or regulation  

We reserve the right to report any prohibited activity and to take legal action when necessary.

23. Third-Party Beneficiaries  

Certain provisions of these Terms may be enforceable by our third-party service providers as intended third-party beneficiaries.

24. Transaction Limits and Holds  

We may impose limits on the amount, frequency, or type of transactions conducted through BillNip. We may also place holds on funds pending verification, dispute resolution, fraud review, or compliance checks.

25. Account Inactivity and Dormancy  

If your account remains inactive for more than 12 months, we may deactivate it. Any remaining balance may be applied to outstanding bills, administrative fees, or handled in accordance with applicable escheatment laws.

26. Communication with Billers  

BillNip facilitates payments to third-party billers but does not represent or act on behalf of any utility provider, landlord, lender, or other billing entity. We are not responsible for how those entities apply, process, or interpret your payment. You must contact your biller directly for account disputes, service issues, or follow-up.

28. Entire Agreement  

These Terms, along with our Privacy Policy and any additional terms disclosed within the platform, constitute the entire agreement between you and BillNip. If any provision is deemed unenforceable, the remaining provisions will remain in effect.
